Terms & Conditions

These terms apply to every Closet Box quote and order. Signing a quote or paying the deposit means you agree to them. Questions before you sign? Call the shop — we’ll walk through them.

1Agreement

These Terms and Conditions, together with the final approved Quote ("Quote") and design drawings ("Designs"), constitute the entire agreement ("Agreement") between Closet Box Inc ("Company," "we," "us") and the client named on the Quote ("Client," "you"). This Agreement governs the design, fabrication, and installation of custom closet systems and related products ("Products"). Pre-printed or standard terms contained in any Client purchase order, work order, addendum, subcontract form, or similar document shall not modify this Agreement unless expressly agreed to in a writing signed by both parties.

2Quotes and Orders

Quotes: All Quotes provided by the Company are valid for thirty (30) days from the date of issue. The Quote is based on the Designs and material selections agreed upon.

Order Confirmation: An order is considered confirmed upon the Company’s receipt of: (a) a signed copy of the final Quote and Designs by the Client; and (b) the required non-refundable deposit as specified in the “Payment Terms” section.

Acceptance: By confirming the order, the Client acknowledges they have reviewed and approved all Designs, including dimensions, materials, finishes, and hardware selections.

3Design and Measurements

Field Measurements: The Company will take final field measurements after the order is confirmed and the deposit is paid. All quoted dimensions are approximate until final field measurements are taken.

Client Responsibilities: The Client is responsible for ensuring the installation area is clear of obstructions, personal items, and existing fixtures prior to the scheduled measurement and installation dates. The Client must also inform the Company of any hidden utilities (plumbing, electrical, etc.) within the installation area. The Company is not liable for damage to undisclosed utilities.

4Payment Terms

Deposit: A non-refundable deposit of sixty percent (60%) of the total quoted price is required to confirm an order and commence the production process.

Final Payment: The remaining forty percent (40%) balance is due upon completion of the installation and in no event later than fifteen (15) days after completion. Payment can be made by Check, Credit Card, and ACH Transfer.

Late Payments: Overdue balances are subject to a late fee of 1.5% per month (18% per annum) or the maximum rate permitted by law.

Lien Waivers: Upon written request, the Company will furnish a conditional waiver of lien with each payment received and a final waiver of lien upon receipt of final payment in full.

5Changes, Cancellations, and Returns

Custom Nature of Products: The Client acknowledges that all Products are custom-fabricated to their specific requirements.

Change Orders: Any changes requested by the Client after the order has been confirmed must be submitted in writing. Such changes may result in additional charges and may extend the project timeline. A formal Change Order document will be issued for Client approval.

Cancellations: If the Client cancels the order after confirmation, the 60% deposit is non-refundable to cover the costs of materials, labor, and design work already incurred.

No Returns or Refunds: Due to the custom-made nature of the Products, no returns, exchanges, or refunds are possible once production has begun.

6Lead Time and Installation

Lead Time: The estimated lead time for installation will be provided at the time of order confirmation. This is an estimate and not a guarantee. The Company will make every reasonable effort to meet this timeline but is not liable for delays caused by factors beyond our control, including but not limited to supply chain disruptions, labor shortages, or delays caused by the Client or other contractors. The Company is responsible for delays caused by the Company.

Installation Date: The Company will schedule a firm installation date with the Client once the Products are near completion. The Client must provide clear and safe access to the property for our installation team. Once installation has begun, the Company will diligently pursue the installation to completion.

Site Conditions: Walls, floors, and ceilings are assumed to be reasonably level and plumb. The Company is not responsible for correcting pre-existing structural issues. Additional charges may apply if significant shimming, scribing, or custom fitting is required due to out-of-square conditions.

7Site Conduct and Damage

Conduct: The Company’s installation crew will maintain a clean and organized work area, dispose of waste materials properly, and conduct themselves in a professional and respectful manner at all times while on site.

Damage: The Company is responsible for damage to the Client’s property caused by the Company’s crew during installation, including damage to cabinets, fixtures, and flooring, subject to the Limitation of Liability section below. Any damage should be reported to the Company promptly.

8Insurance

The Company maintains Commercial General Liability insurance with a limit of $1,000,000 per occurrence, supplemented by a $1,000,000 umbrella policy, and Workers’ Compensation insurance as required by law. A certificate of insurance is available upon written request. For builder and general contractor clients, additional-insured status can be provided upon written request prior to installation.

9Warranty

Limited Lifetime Warranty: The Company warrants its custom-fabricated wood and laminate components to be free from defects in material and workmanship for the lifetime of the original installation, provided they are subject to normal residential use.

Hardware Warranty: All hardware (slides, hinges, rods) is covered by the manufacturer’s warranty, which is typically one (1) year.

Exclusions: This warranty does not cover: damage resulting from misuse, abuse, neglect, or improper cleaning; damage from excessive moisture or humidity; normal wear and tear, including minor scratches, dents, or fading over time; or Products that have been altered, modified, or repaired by anyone other than an authorized Company representative.

Claims: To make a warranty claim, please contact us with proof of purchase. The Company will acknowledge warranty claims within five (5) business days and will complete warranted repairs or replacements within a commercially reasonable time. Our sole obligation under this warranty is to repair or replace the defective component at our discretion.

10Materials and Finishes

Natural Variation: The Client acknowledges that natural materials such as wood will have inherent variations in grain, color, and texture. These natural characteristics are not considered defects.

Finish Samples: Finish samples provided are for general representation only. The final product may have slight variations in color and sheen.

11Photographs

The Company may photograph completed installations for portfolio, website, and marketing purposes. Photographs will not identify the project address, the Client, or the property owner without the Client’s separate written consent. The Client may decline photography of their project at any time by written notice to the Company.

12Limitation of Liability

The Company’s total liability under this Agreement, for any claim whatsoever, shall not exceed the total purchase price paid by the Client. In no event shall the Company be liable for any indirect, special, incidental, or consequential damages.

13Intellectual Property

All designs, drawings, and renderings remain the property of the Company. They may not be reproduced or used without written consent.

14Legal Expenses

In the event of any legal action or arbitration arising from this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and court costs from the other party.

15Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois. Any disputes arising from this Agreement shall be resolved in the courts of Cook County, Illinois. By signing the Quote or making a deposit payment, the Client agrees to be bound by these Terms and Conditions.
